Managing Director at La Financière d’Intégration Européenne – the main shareholder of OTL S.A. Moreover, he is the President of the Management Board of ARTUS TRADING and ARTUS AIRCRAFT, a manufacturer of training and recreational aircraft, and runs a business under the name WINNICA ZELKÓW – wine production.

Mr. Artur Szczepaniak began his professional career in 1990 as a broker on the Kraków Commodity and Money Exchange. In 1991, he was one of the co-founders of Dom Maklerski PENETRATOR and until 1996 he was its shareholder and held, among others, functions of the head of the analysis department, head of the securities issuance department (IPO, support for the NFI program, privatizations). In 1996-2001, as the President/Managing Director of EPS, he provided advisory services on pre-IPOs and privatizations for foreign investors. From 2001 to 2021, he was associated with the MISTRAL Fund dealing with investments in the private market, where, until the merger with La Financière d’Intégration Européenne, he was the President of the Management Board/Managing Director and Chairman of the Supervisory Board and sat on numerous supervisory boards and management boards related to the investments of that fund. He has been on the Supervisory Board of OTL S.A. since 2003 and in 2021-2022 he was delegated three times as a Member of the Management Board of this Company.

Mr. Zbigniew Nowik is a PhD in economics (he obtained his PhD degree at the Institut d’Etudes Politiques de Paris), the author of numerous economic publications and of the book “New financial instruments and stock exchanges of the future” (1994). In 1990-1993 he worked in France in the departments of international insurance companies — Union Française de Reassurance, Azur Group, AXA International — where he dealt with reinsurance and expansion, among others for Central and Eastern Europe. After returning to Poland, he advised foreign investors entering the Polish market or directly managed their investments. He was, among others, the Financial Director of the French distribution network Castorama and the Managing Director of its first supermarket, as well as the Financial Director of the Dutch company Campina, where he led a restructuring project and managed a group of dairies in Poland. Moreover, he was the Chairman of the Supervisory Board of IMPEXMETAL S.A. and Deputy Chairman of the Supervisory Board of ROLIMPEX S.A. Mr. Zbigniew Nowik has been a member of the Supervisory Board of OTL since 2003, and in 2015-2018 he was on the Management Board of OTL as the President of the Management Board.

Mr. Marek Komorowski has a university degree, in 1988 he graduated from the Warsaw School of Economics (MA in Economics) and in 2001 from Kellogg/WHU Executive MBA. He worked for over 20 years in managerial positions in the area of corporate and investment banking in such institutions as: Rabobank Polska S.A., Credit Lyonnais Bank Polska S.A., IPB Bank S.A., BRE Bank S.A. Since 2010, he has been the president of the management board of the m2g consulting company. He has been a member of supervisory boards of companies representing various industries since 1994. The Supervisory Board member does not meet the independence criteria. Mr. Marek Komorowski has been on the OTL Supervisory Board since 2003.

Mr. Andrzej Malinowski is a graduate of the Poznań University of Economics and holds a PhD in economics. Since 2001, President of the Employers of Poland, the oldest and largest employers’ organization in Poland, associating over 12,000 enterprises, employing about 5 million employees.

Mr. Andrzej Malinowski worked in the government administration. In 1996, the Prime Minister entrusted him with the function of plenipotentiary for the organization of the Ministry of Economy, and then he became the secretary of state there. His most important professional achievements in government administration include co-creation of the concept and organization of the Ministry of Economy. Member of Parliament (the Sejm), deputy chairman of the Foreign Economic Relations Committee, member of the Polish parliamentary delegation to the Parliamentary Assembly of the Council of Europe and deputy chairman of the Committee for International Economic Relations of the Council of Europe. He also held managerial positions in commercial law companies. As a leader of Polish employers, he chaired BIAC Polska – Advisory Committee for Industry and Trade at the OECD. Member of the National Council for European Integration. Representative of Polish employers in the European Economic and Social Committee. In 2005, he was elected the first vice president of the European Organization of Employers of Public Sector Enterprises. He is also a representative of the Employers of Poland in the International Organization of Employers (IOE). In 2013, he was elected President of the International Coordinating Council of Employers’ Unions for the 2014-2015 term of office. He is the deputy chairman of the Social Dialogue Council and manages the work of the Council’s task force for economic policy and the labour market.

Mr. Andrzej Malinowski was honoured with the Commander’s Cross with the Star of the Order of Polonia Restituta and other state decorations, as well as the Order of the Smile – awarded by children for activities that bring joy to children. The Supervisory Board member meets the independence criteria.

Currently, the Chairman of the Supervisory Boards of the following companies: DIAGNOSTYKA S.A., SOTIS Sp. z o.o., OTC S.A., member of Supervisory Boards: OT Logistics S.A. and NANOGROUP S.A. and the President of the Management Board: Addmed Sp. z o. o. and the Buen Camino Foundation. He was involved in all the most important projects of strategic and financial consulting, sale of shares and raising capital implemented by Dom Maklerski PENETRATOR S.A. He was an adviser to the Minister of Ownership Transformation on the privatization of ISKRA S.A., the Minister of Treasury on the privatization of the largest Polish publishing house – Wydawnictwa Szkolne i Pedagogiczne S.A. and the largest Polish alcohol producer – POLMOS Białystok S.A. He participated in the implementation of several dozen projects to raise capital in the private and stock markets. He introduced MOSTOSTAL WARSZAWA, POLIGRAFIA, POLIGRAFIA, WSiP, POLMOS BIAŁYSTOK, INTERSPORT, K2, INTELIWISE, CYFROWY POLSAT, MERCATOR MEDICAL, AILLERON, ARCHICOM, NANOGROUP, ML SYSTEM to the stock exchange. He advised WIRTUALNA POLSKA in raising capital in the private market from INTEL (the first INTEL investment in this part of the world) and PROKOM. He advised 4F (OTCF) on raising capital from the ZASADA Group. He was involved in many environmental and legislative initiatives for the development of the Polish capital market, including: he participated in the authorities of the Brokers’ Association, in the work on the creation of an over-the-counter market in Poland, the NFI program, he was a co-author of the concept of the Polish Power Exchange and the publisher and editor of the monthly “Our Capital market”. He studied at the AGH University of Science and Technology (Faculty of Electronics and Automatics) and at the London Business School. He holds a securities broker licence (No. 13) and licences issued by the London International Financial Futures Exchange, International Petroleum Exchange and London Clearing House. The Supervisory Board Member meets the independence criteria.

An experienced manager in the field of strategy implementation and corporate development in the oil, energy and retail industries. During his professional career, he worked, among others, in such companies as: Kogeneracja S.A. (CEO – running heating plants in Lower Silesia), RUCH S.A. (CEO – transformation leader of the largest retail press distribution company in Poland), PKN Orlen S.A. (in the Management Board as CEO and as a Management Board Member responsible for sales, marketing, logistics, human resources, corporate communication). He worked in the international corporation BP and BP Polska for 14 years, including 4 years in BP Corporate Centre in London. He also has experience as a member of supervisory boards (including as a member of audit committees). Mr. Wojciech Heydel has a university degree. He is a graduate of the Silesian University of Technology (1985), completed the Executive Program, General management (University of Michigan, 1998). He sat on the Supervisory Board of OT Logistics in the expiring term of office. The Supervisory Board Member meets the independence criteria.

Mr. Piotr Nadolski is a graduate of the Warsaw School of Economics. During his professional career he worked in such companies as: AP 37 Holding Sp. z o. o. (Management Board Member), VIGO System S.A. (independent Member of the Supervisory Board), Lighthouse Capital (own business activity in the field of economic consulting), Sandfield Capital Sp. z o. o. (President of the Management Board), V National Investment Fund Victoria S.A. (President of the Management Board), FUND.1 National Investment Fund S.A. (Vice President of the Management Board), Ballinger Capital (Investment Director), Warta-Vita S.A.(Financial Analyst). He also has experience as a member of supervisory boards (including companies listed on the Warsaw Stock Exchange) – Automotive Components Europe S.A., CCC S.A., Forte S.A., Krynicki Recykling S.A., Marvipol S.A., Miraculum S.A., Polnord S.A., Polwax S.A., Quantum Software S.A.
