Who we are

OT Logistics S.A. together with the companies forming the OT Logistics Group it is the largest and most versatile port operator in Poland and one of the largest in the Baltic Sea basin. It has been providing transport, forwarding and logistics services for over 70 years.

The OT Logistics Group specializes in port transshipments and freight forwarding services. It focuses its activities primarily on servicing customers from Central and Eastern Europe in the field of transshipment handling in seaports and broadly understood forwarding of goods, transported mainly by sea, but also by land.

The OT Logistics Group includes sea port terminals: OT Port Świnoujście and OT Port Gdynia with a dedicated ro-ro terminal in Poland. The OT Logistics Group is the owner of the Rentrans Cargo forwarding company and Kolej Bałtycka, which provides manoeuvring and rail transport services. The Group also includes Port Żegluga Szczecińska, a company servicing hydrotechnical projects.

Group structure

The scope of services provided by OTL includes forwarding, agency, sea freight organization, transshipments in ports, siding service and rail transport, inland waterway transport, road transport, real estate rental, hydrotechnical works as well as warehousing and storage of goods. A capital group of companies with various business profiles was established in OT Logistics.

Group history

The key strategic assumption of the OT Logistics Group until 2023 is to focus on organic development based on the currently held port assets, as well as to offer comprehensive accompanying services, mainly the distribution of forwarding services. The main goal is to become a leader in the field of transport and logistic services in Central and Eastern Europe. In March 2023, the sale transaction of all Luka Rijeka shares held by the Group was finalized.

The stabilization strategy was announced and priority goals for 2020-2021 were formulated, including primarily the concentration of business on port operations, reduction of the debt level and planned final stabilization of the financial standing of the OT Logistics Group. In 2021, continuing the assumptions of the strategy, the Group focuses primarily on servicing customers who use the sea route, forwarding activities and rail transport, as well as hydrotechnical activities. As part of the ongoing restructuring process C.Hartwig Gdynia S.A. was sold at the end of 2021.

A recovery plan, which was developed in connection with the revision of the assumptions regarding the Group operations, was published and implemented. Its goal was to improve operational synergies, financial liquidity and financial results. One of the elements of the consistently implemented strategy, which assumes the consolidation of the Group companies, was the merger of OT Logistics S.A. with subsidiaries: Żegluga Bydgoska sp. z o.o., OT Port Wrocław sp. z o.o., Odra Rhein Lloyd sp. z o.o. and Rentrans International Spedition Sp. z o.o., which significantly improved transparency, streamlined and simplified the structure of the Group.

Expansion into the logistic services market in the countries of the North-South corridor. Establishment by the OT Logistics Group of a new company C.Hartwig Adria in Croatia. Development of competences and a larger scale of operations in the container shipping segment through the acquisition by C.Hartwig Gdynia of 100% of shares in Sealand Logistics, one of the leaders in container shipping in Poland. Strengthening the offer and increasing the share in the domestic rail transport market by finalizing the acquisition of STK S.A. and Koleje Bałtycka S.A. Joining the group of experts of the Program Council of the United Nations Global Compact in Poland, the world’s largest organization for corporate social responsibility, supporting sustainable development and corporate policy.

In 2017, river transport of coal was resumed on the Port Gliwice – Wrocław route. The company also took over operational and financial control over the Croatian port of Luka Rijeka thanks to the shareholders’ agreement. A new company, OT Logistics Bel, based in Grodno, Belarus, has joined.

Thanks to the acquisition of 75% of shares in the forwarding company C.Hartwig Gdynia and 100% of shares in Bałtycki Terminal Drobnicowy Gdynia, OT Logistics becomes one of the largest logistic organizations in Europe. Other important events were the acquisition of 20% of shares in the company managing the largest seaport in Croatia and the signing of a 30-year lease agreement with the Port of Gdansk Management Board. The company acquires 100% of shares in the railway company Landkol. For the first time in the history of OT Logistics S.A. E series bonds are issued to individual investors.

Odratrans S.A. launches a bond issuance program through a public offering, from which it raises PLN 60 million. The next steps are to change the company’s name to OT Logistics S.A. and IPO on the Warsaw Stock Exchange in 2013.

Odratrans S.A. increases its potential through a series of acquisitions, including a controlling stake in Żegluga Bydgoska S.A. and the German company Deutsche Binnenreederei AG. An important step in the development of the Group was also the purchase of 40% of shares in Port Handlowy Świnoujście and the purchase of shares in forwarding companies Rentrans Cargo Sp. z o. o. and Rentrans International Spedition Sp. z o. o.

A controlling stake in Odratrans S.A. is contributed to the VII National Investment Fund.

Polska Żegluga na Odrze is transformed into a company wholly owned by the State Treasury named Odratrans S.A.

The Polska Żegluga na Odrze company, one of the first logistic companies in post-war Poland, is established in Wrocław.
